Welcome to Upform ("Service"), operated by INKYY ("Company," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

2. Description of Service

Upform is a Software-as-a-Service (SaaS) platform that provides:

Form building tools
Survey creation and distribution
Data collection and response management
Analytics and reporting features

We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

3. Eligibility

3.1 Age Requirement

You must be at least 16 years old to use our Service. By using Upform, you represent that you meet this age requirement.

3.2 Account Accuracy

You must provide accurate, current, and complete information during registration and keep your account information updated.

3.3 Prohibited Users

You may not use our Service if:

You are prohibited by law from using it
Your account has been previously terminated for violating these Terms
You are located in a country under embargo or designated as a "terrorist supporting" country

4. Account Registration and Security

4.1 Account Creation

You may register using:

Email and password
Google OAuth authentication

4.2 Account Security

You are responsible for:

Maintaining the confidentiality of your password
All activities that occur under your account
Notifying us immediately of any unauthorized access

4.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms.

You may delete your account at any time through your account settings or by contacting hello@inkyy.com.

5. Subscription Plans and Billing

5.1 Available Plans

Upform offers:

Free Plan: Limited features and usage
Paid Plans: Monthly and annual subscription options with expanded features

5.2 Billing

Subscriptions are billed in advance on a monthly or annual basis
Payment is processed through our payment provider (Dodo Payments or Paddle)
Prices are listed in the currency specified at purchase
All fees are non-refundable except as stated in our Refund Policy (Section 6)

5.3 Automatic Renewal

Subscriptions automatically renew unless you cancel before the renewal date. You will be charged the then-current subscription fee.

5.4 Plan Changes

Upgrades: Take effect immediately; you'll be charged a prorated amount
Downgrades: Take effect at the end of your current billing cycle
Cancellations: You retain access until the end of your paid period

5.5 Price Changes

We may change subscription prices with 30 days' notice. Price changes do not affect your current subscription period.

5.6 Taxes

Prices do not include applicable taxes. You are responsible for any taxes, duties, or government charges.

6. Refund Policy

6.1 7-Day Money-Back Guarantee

If you are not satisfied with your paid subscription, you may request a full refund within 7 days of your initial purchase.

Applies to first-time purchases only
Does not apply to renewals
Does not apply to annual plans after 7 days

6.2 How to Request a Refund

Your account email
Reason for refund (optional but appreciated)

Refunds are processed within 5-10 business days to your original payment method.

6.3 Exceptions

No refunds are provided for:

Free plan users
Subscription renewals
Requests made after 7 days
Account terminations due to Terms violations

7. User Content and Data

7.1 Your Content

You retain all ownership rights to the content you create, upload, or collect through our Service ("Your Content"), including:

Forms and surveys you create
Responses collected from your users
Files and data you upload

7.2 License to Us

By using our Service, you grant us a limited, worldwide, non-exclusive license to:

Store, process, and display Your Content as necessary to provide the Service
Make backups for security and reliability
Aggregate anonymized data for analytics and Service improvement

We will never:

Sell Your Content to third parties
Use Your Content for advertising
Share Your Content publicly without your permission

7.3 Your Responsibilities

You are solely responsible for Your Content and must ensure:

You have the right to upload and share it
It complies with these Terms and applicable laws
It does not violate third-party rights (copyright, privacy, etc.)

7.4 Data Backup

While we maintain regular backups, you are responsible for maintaining your own backup copies of Your Content.

8. Acceptable Use Policy

You agree NOT to use our Service to:

8.1 Illegal Activities

Violate any laws or regulations
Infringe on intellectual property rights
Collect personal data without consent

8.2 Harmful Content

Create forms or surveys containing:
Hate speech, harassment, or discrimination
Sexually explicit or violent content
Malware, viruses, or malicious code
Spam or phishing attempts

8.3 System Abuse

Attempt to gain unauthorized access to our systems
Disrupt or interfere with the Service
Reverse engineer or attempt to extract source code
Use automated tools (bots, scrapers) without permission
Exceed usage limits or quotas

8.4 Misrepresentation

Impersonate another person or entity
Create fake accounts or misleading forms
Misrepresent your affiliation with any organization

Violation of this policy may result in immediate account termination without refund.

9. Intellectual Property Rights

9.1 Our Rights

The Service, including its design, features, code, trademarks, and logos, is owned by INKYY and protected by:

Copyright laws
Trademark laws
International intellectual property treaties

9.2 Limited License to You

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or business purposes, subject to these Terms.

9.3 Restrictions

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability
Fitness for a particular purpose
Non-infringement
Uninterrupted or error-free operation

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INKYY SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, or consequential damages
Loss of profits, data, or business opportunities
Damages arising from your use or inability to use the Service
Unauthorized access to or alteration of your data
Third-party conduct or content

TOTAL LIABILITY CAP: Our total liability to you for all claims shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

11.3 Exceptions

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless INKYY, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the Service
Your Content
Your violation of these Terms
Your violation of any third-party rights

13. Data Protection and Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

By using our Service, you consent to our data practices as described in the Privacy Policy.

14. Termination

14.1 By You

You may terminate your account at any time by:

Using account deletion settings
Contacting hello@inkyy.com

Upon termination:

Paid subscriptions remain active until the end of the billing period
No refunds for partial months
Your Content will be deleted within 30 days

14.2 By Us

We may suspend or terminate your account immediately if:

You violate these Terms
Your account is inactive for more than 12 months (free accounts)
We are required to do so by law
We discontinue the Service

14.3 Effect of Termination

Upon termination:

Your right to use the Service ends immediately
We may delete Your Content after a reasonable grace period
Sections that should survive termination (e.g., liability, indemnification) remain in effect

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of Bosnia and Herzegovina, without regard to conflict of law principles.

15.2 Jurisdiction

Any disputes shall be resolved in the courts of Bosnia and Herzegovina. You consent to the exclusive jurisdiction of these courts.

15.3 Informal Resolution

Before filing a lawsuit, you agree to first contact us at hello@inkyy.com to attempt informal resolution.

15.4 Arbitration (Optional)

If both parties agree, disputes may be resolved through binding arbitration instead of court proceedings.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and INKYY.

16.2 Modifications

We may modify these Terms at any time. We will notify you of material changes by:

Posting updated Terms with a new "Last Updated" date
Sending email notifications (for significant changes)

Your continued use after changes constitutes acceptance of the new Terms.

16.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.

16.4 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

16.5 Assignment

You may not transfer your rights under these Terms. We may assign our rights to any successor or affiliate.

16.6 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (e.g., natural disasters, war, pandemics, internet outages).
